Terms of Use

These Terms of Use govern your use of Kali, the AI canine concierge operated by Roch Dog Inc. ("Roch Dog", "we", "us"), as offered through kaliconcierge.com, WhatsApp, and email. By using Kali you agree to these Terms. If you do not agree, do not use Kali.

1. How you accept these Terms

You accept these Terms when you indicate your agreement on our website, when you continue to message Kali on WhatsApp or by email after we have shown you a link to these Terms, or when you otherwise use the service. You must be at least 18 years old and able to enter a binding agreement. Kali is not directed at children under 13, and we do not knowingly collect their data. If we change these Terms in a way that materially affects your rights, we will ask you to accept again before you carry on using Kali.

2. What Kali is, and what Kali is not

Kali is an information and locator service. She helps you find nearby veterinary clinics and shows general information about dog friendly places and cross-border pet travel, drawn from our own and third-party data.

Kali is not a veterinarian, a veterinary clinic, a doctor, a lawyer, or a customs broker. Kali does not provide veterinary, medical, legal, customs, or other professional advice, does not diagnose or treat any condition, does not perform triage, and does not provide emergency services. No veterinarian-client-patient relationship, and no other professional relationship, is created by your use of Kali.

Kali is automated. Her responses are generated by software and data, not by a person, and they are not professional advice or a binding statement on behalf of Roch Dog or any hotel. You should not act on anything Kali tells you without confirming it yourself with the relevant professional or authority.

Kali is not for emergencies. If you think your dog may be having a medical emergency, contact a licensed veterinarian or local emergency services immediately, and do not delay care because of anything Kali shows you.

3. The emergency-vet locator

When you ask, Kali returns nearby veterinary clinics with their name, phone number, address, and distance. This is directory information. Clinics close, move, change their hours, fill up, and stop taking new patients, often without notice.

We do not warrant that any listed clinic is open, reachable, available, able to treat your dog, or suitable for your situation at any given time. Before you travel to any clinic or rely on a listing, you must call the clinic yourself to confirm it is open and able to help. You assume the risk of relying on, or not relying on, the locator, and of any delay in obtaining care. We are not responsible for the acts, omissions, or clinical outcomes of any veterinary provider.

4. What "verified" means

Where we describe clinic data as "verified", we mean only that we confirmed the clinic existed at that location, with that contact information and stated core hours, against public or partner sources at the time we last reviewed the dataset. "Verified" does not mean we guarantee a clinic's current status, hours, capacity, or that it is open right now, and it is not an endorsement of any clinic.

5. Cross-border pet travel information

Kali may show general information about taking a dog across borders, including vaccination, import, export, and quarantine rules. These rules are set by governments, are complex, and change quickly and without notice. This information is for general guidance only and may be incomplete, out of date, or wrong for your situation.

You are solely responsible for confirming current requirements directly with the official authorities, such as the destination country's embassy or consulate and its agriculture or border-control body, and for US matters the USDA Animal and Plant Health Inspection Service (APHIS), and with your airline or carrier, before you book or travel. We are not responsible for any decision by any government, airline, or carrier, including refusal of entry, quarantine, or any action taken against your dog.

6. Acceptable use

Use Kali lawfully. Do not misuse the service, attempt to break or overload it, scrape it, or use it to harm others. We may suspend or end your access if you do.

7. Disclaimer of warranties

To the maximum extent permitted by law, Kali and all of its information, content, and results are provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, timeliness, completeness, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, Roch Dog Inc., its officers, directors, employees, and affiliates, and the hotels and businesses that deploy Kali (together, the "Roch Dog Parties"), will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, or for any property damage including the illness, injury, or death of any animal, arising out of or relating to your use of or reliance on Kali, on any theory of liability, even if advised of the possibility.

To the maximum extent permitted by law, the Roch Dog Parties' total aggregate liability for all claims arising out of or relating to Kali or these Terms will not exceed one hundred US dollars (US$100). You acknowledge this allocation of risk is a basis of the bargain and is what allows us to provide Kali to you free of charge.

9. Things we do not exclude

Nothing in these Terms limits liability for fraud or fraudulent misrepresentation, for willful misconduct or gross negligence, for death or personal injury to a person caused by our negligence, or for anything else that cannot be limited under applicable law. If any part of sections 7 to 9 is held unenforceable, it will be narrowed to the least extent needed to make it valid, and the rest of these Terms stays in force.

10. Indemnity

To the fullest extent permitted by law, you agree to cover the Roch Dog Parties for any third-party claim, and reasonable legal costs, arising from your breach of these Terms, your misuse of Kali, or your reliance on or actions taken from Kali's information. This does not require you to cover a Roch Dog Party for its own fraud, willful misconduct, or anything else the law does not allow us to shift to you.

11. Hotels that deploy Kali

Kali is offered both directly by Roch Dog and as a white-label service deployed by dog friendly hotels. Each hotel is responsible for the accuracy of the information it configures in its own Kali, and warrants that information to us. The hotels and businesses that deploy Kali are intended beneficiaries of the disclaimers and limitations in these Terms and may rely on them.

12. Dispute resolution, governing law, and arbitration

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.

Please read this section carefully. It affects how disputes are resolved and limits your right to go to court or join a class action.

Before starting arbitration, you and Roch Dog agree to try to resolve any dispute informally for 60 days after written notice. If that fails, you and Roch Dog agree to resolve any dispute by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, and not in court, except that either party may bring a qualifying claim in small-claims court. You and Roch Dog waive any right to a jury trial and any right to take part in a class, collective, or representative action. Any court proceeding that is not arbitrable will be brought only in the state or federal courts in Wilmington, Delaware.

You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms; you will still be bound by the rest of these Terms.

13. Changes and termination

We may change or discontinue Kali at any time. We may suspend or end your access if you breach these Terms. We may update these Terms; the effective date above shows the latest version, and material changes trigger re-acceptance as set out in section 1.
